Negotiating Contracts & Leases When the Unexpected Hits: a Conversation with LegalCORPS

During this webinar, we will hear from business law attorneys with expertise in contracts and lease negotiations as they pertain to nonprofit organizations, particularly in these times of crisis for many. 

Glen McCluskey, of McCluskey Law Office, and long-time LegalCORPS pro bono attorney, will offer a brief description of what pro bono legal representation for nonprofit entails, and how nonprofit leaders can access services through LegalCORPS' volunteer lawyers.

Shane Solinger and Martin Rosenbaum, attorneys with Maslon, will address Excusing Performance – Force Majeure Clause; Excusing Performance – Common law; and nonprofit topics pertaining to venue contracts.

Christopher DeLong, an attorney with Dorsey and Whitney, will review lease provisions that both landlords and tenants should consider when evaluating the impact of COVID-19 on their leases, such as abatements, deductions and set-offs, condemnation, operating covenants and go-dark rights, access and use rights, co-tenancy or occupancy requirements, and quiet enjoyment rights.

Joining the LegalCORPS team of attorneys will be Northside Funders Group executive director Sarah Clyne who will speak to what she is seeing on the ground in Minneapolis’s Northside during this difficult time. She will comment on the importance of access to sound legal counsel in relationship to accessing and sustaining spaces for nonprofits and businesses, with an eye toward collaborating across sectors.

There will be time for questions and answers. We encourage nonprofit leaders and board members to attend this webinar, which is free, open to all, and made possible in partnership with LegalCORPS and Springboard for the Arts. Live captioning will be offered.

Speaker Information

Sarah Clyne is the executive director for Northside Funders Group (NFG), an integrated partner of the Center for Economic Inclusion. Prior to NFG, Sarah was the executive director for Domestic Abuse Project (DAP) where she helped establish an innovative and transformational birth-to-3 therapy program, re-instated adolescent programming, and engaged in projects within Hennepin County and the City of Minneapolis to end gender-based violence. Additionally Sarah served as executive director of Joyce Preschool, which was awarded the Nonprofit Excellence award in 2013.

Sarah serves on the board of directors for Propel Nonprofits and WATCH MN. She also served on Mayor Hodges’ Cradle-to-K Cabinet and the Governor’s Council on Law Enforcement and Community Relations. She is a founding advisory board member for Educators for Excellence-Minnesota.

Chris Delong is an associate in Dorsey’s Trial Group. In developing his practice, Chris is focused on complex litigation, high-stakes commercial disputes, government investigation and enforcement actions, and corporate investigations. Chris is also committed to pro bono work and represents clients with criminal appeals among other matters. Before joining Dorsey, Chris clerked for Justice G. Barry Anderson of the Minnesota Supreme Court. Chris is also a veteran of the United States Marine Corps, serving from 2007 to 2012 as a Korean Cryptologic Linguist.

Glen McCluskey currently operates McCluskey Law Office, PC and its divisions Business Launch and Legal Services, LLC and Nonprofit Launch and Legal Services, LLC. Glen assists clients in starting their own businesses or nonprofits by providing advice and development services, risk reduction, business strategy, and legal solutions pertinent to developing a new business. As a law firm, Business Launch offers legal services that include business entity creation, organizational document drafting, business agreements, and ongoing legal and business advice.

Glen has worked for Wells Fargo and Co. in Minneapolis in the law department working on regulatory, banking and finance issues, including anti-money laundering. He was legal adviser to the debit card group for fraud issues relating to debit and ATM matters. Glen worked with business clients to bring new financial services and products to market assuring that they met legal and operational standards. He has particular expertise in electronic transaction issues including wire transfers, international remittances, automated clearing house (ACH) transactions, and U.S. federal regulation E. 

Glen also worked for five years as legal counsel at ACA International; a worldwide trade association whose members are credit granters, debt collectors, and attorneys. He created original compliance materials to help them do their jobs effectively and legally, and also handled corporate matters, including real estate, insurance, and human resources.

Marty Rosenbaum, partner and co-chair of Maslon's Corporate & Securities Group, has more than 35 years' experience advising public and privately held companies on securities and corporate matters. His practice is concentrated in securities and corporate finance, including public offerings, private placements, venture capital financing, and mergers and acquisitions involving public and private companies. Marty regularly advises public companies of all sizes regarding preparation of public reports and proxy statements, public disclosures, insider trading, securities regulatory compliance, corporate governance matters, executive compensation, and stock plan issues. He provides business legal services to privately held corporations, partnerships, and limited liability companies in all stages, from organization through their initial public offering or sale.

Marty was named a "Notable Practitioner" in Corporate/M&A by Chambers USA in 2007-2020. He has served as president of LegalCORPS, a nonprofit organization that provides pro bono business law advice to low-income entrepreneurs and small nonprofits, from 2015-2017 and president of the Twin Cities Chapter of the National Association of Stock Plan Professionals from 2007-2011. He also wrote and edited an award-winning blog on securities compliance, corporate governance, and executive compensation during the era of the Dodd-Frank Act, 2010-2013.  

Shane Solinger counsels clients on corporate matters, including mergers and assets acquisitions, contract issues, and corporate governance. With experience spanning a broad range of industries, he has particular depth advising closely held corporations to help them meet their goals throughout all stages of the business cycle—from corporate formation to the sale of the business. Shane is highly skilled at simplifying the complex for his clients—always with the goal of creating a clear actionable path to a meaningful solution.

Prior to beginning his private practice, Shane gained valued insight serving as an intern for an in house legal department. He received his law degree, cum laude, from the University of Wisconsin Law School. During law school, he volunteered with the Wisconsin Innocence Project and served as a managing editor of the Wisconsin Law Review.
